I understand that I am enrolling in a fulfillment service where all information shared with me is confidential and proprietary. As such, this program does not allow for cancellations, charge backs, refunds, nor does it extend any money-back guarantee (past any government imposed right of rescission where applicable). I further acknowledge that no earnings, promises, claims, or guarantees have been made to me regarding this program or my success in implementing what I learn. I accept that my success with this program is entirely dependent upon my actions and that I am responsible to complete the education course and attend training sessions at the time they are scheduled.

Non-Disclosure of proprietary information

You acknowledge that all the techniques, methods, and information concerning trading and this program provided by us to you and other members is owned by us, and is of a highly confidential nature. Accordingly, you hereby agree that during the term of the Service and up to 5 (five) years of termination/cancellation of the Service, you shall not divulge or appropriate for your own use, or for the use or benefit of any third party (other than the Service and its representatives, or as directed in writing by the Service), any information or knowledge concerning the Service without the prior written consent of the Service.

Limited license of use

You acknowledge and agree that all the information, techniques, processes, and methods provided by Edumomo shall remain the sole and exclusive property of Edumomo at all times and that nothing in this Terms and Conditions shall be deemed to grant you any right, title or interest in such material, except for a limited license to personally use the information, process and techniques within your trading or business account (which you own over 51% and up to a sum total across all account up to $1m). You further acknowledge and agree that none of the information, techniques and methods provided by Edumomo (including but not limited to the contents in THT, watchlist, and all other contents produced by Edumomo, staff, users, members, etc) can be shared, altered or redistributed without written consent.

Non-Compete

You specifically agree that for a period of 3 years after the term of service with Edumomo, you will not engage, directly or indirectly, either as proprietor, stockholder, partner, officer, employee or otherwise, in the same or similar activities as were performed by Edumomo in any business which distributes or sells products or provides services similar to those distributed, sold, or provided by Edumomo at any time during the term of the service up to termination/cancellation.

Contribution Policy

By using the Service, you hereby agree and acknowledge that all the contents created, disclosed, shared, or modified by you in Edumomo shall grant us the ownership and all the rights to use, reproduce, adapt, modify, publish or distribute the content created by you or stored in your user account for our commercial, marketing or any similar purpose. But you have a license to access, copy, distribute, store, transmit, reformat, the content of your user account for your personal accords.

License of User Materials

All names, photographs, videos, information, communications and any other content that you submit to or publish on or through the site or associated app or that you submit to or publish on an online social media account (e.g., Facebook, Twitter, Instagram, etc) that you own and link or otherwise associate with the site, the company, the app or your user account, including any information you provide via the site or app, if any and as applicable, is hereinafter defined as “user Materials”. You hereby grant Edumomo an irrevocable, exclusive, royalty-free, fully-paid, transferable, sub-licensable, perpetual and universe-wide license for Edumomo to host, store, reproduce, transmit, distribute, sell, resell, license, sublicense, market, modify, adapt, create derivative works, communicate, publish, syndicate, publicly perform, publicly display, archive and otherwise use and exploit all or any part of such user materials and any elements and derivative thereof in any manner, medium or form, whether now known or hereinafter devised, as Edumomo sees fit in its sole discretion. I authorize and grant Edumomo to take, use, edit, alter, copy and or distribute and photo, video, audio, or other media assets for advertising and marketing. I agree these assets belong to Edumomo and I will not receive any compensation. Edumomo may dispose of or delete any such personal information or non-personal information at any time, except as set forth in any other agreement or document executed by Edumomo or as required by law.

Additional Fees

You acknowledge and agree that if the sum total of your trading accounts using any Edumomo LLC trading system exceed $1M (One Million US Dollar), then you will be liable for the payment of additional fees in the prescribed manner and/or 5% / year of sum total value of accounts, whichever is greater. It is your responsibility to get in touch with Edumomo to secure an appropriate license.

Indemnification and limitation of Liability

You agree to indemnify, defend and hold Edumomo LLC, its personnel, agents, and representatives harmless from and against any and all claims, damages, losses, expenses (including reasonable attorney fees), or other expenses that arise directly, indirectly, consequently, or incidentally, from your use of the Service. Your sole remedy for dissatisfaction with the Service and/or content contained within the Service is to stop using the Service.
