This Two Hour Trader Agreement (the “Agreement”) is made by and between Edumomo LLC, a Puerto Rico limited liability company (“Edumomo”) and , an individual (“you”), and together with Edumomo referred to as the “Parties”) on .

WHEREAS, You are interested in participating in the Two Hour Trader Mastery Program (the “THT Program”) outlined in Exhibit A and becoming a member of the Two Hour Trader Elite Community (the “THT Elite Community”) outlined in Exhibit B.

WHEREAS, it is the intention of Edumomo to provide you access to the THT Program, access to the THT Elite Community, coaching and other services (together the “Services”).

NOW THEREFORE, in consideration of you participating in the Services, you hereby agree as follows:

• Assent & Acceptance.
  By purchasing and participating in the Services, you warrant that you have read and reviewed this Agreement and that you agree to be bound by it. If you do not agree to be bound by this Agreement, please cease your participation in the Program immediately. If you do so after purchase, you will not be entitled to any refund. Edumomo only agrees to provide the Services to you if you assent to this Agreement.  This agreement covers this purchase and will also act as a master services agreement for future purchases.

• Age Restriction.
  You must be at least eighteen (18) years old to participate in the Services. By participating in the Services, you represent and warrant that you are at least eighteen (18) years old and may legally enter into this Agreement. Edumomo assumes no responsibility or liability for any misrepresentation of your age.

• License.
  Edumomo may provide you with certain information as a result of your participation in the Services. Such information may include, but is not limited to, documentation, data, or information developed by Edumomo and other materials which may assist in your participation in the Program ("Materials"). Subject to this Agreement, Edumomo grant you a non-exclusive, limited, non-transferable and revocable license to use the Materials solely in connection with your participation in the Services. The Materials may not be used for any other purpose, and this license terminates upon your termination of the Services, your cessation of use of the Services, or at the termination of this Agreement.
  You further acknowledge and agree that all the information, techniques, processes, and methods provided by Edumomo shall remain the sole and exclusive property of Edumomo at all times and that nothing in this Agreement shall be deemed to grant you any right, title or interest in such material, except for a limited license to personally use the information, process and techniques within any of your trading or business accounts which you own over fifty one percent (51%) (“Accounts”). You further acknowledge and agree that none of the information, techniques and methods provided by Edumomo (including but not limited to the contents in the Services, watchlist, and all other contents produced by Edumomo, staff, users, members, etc.) can be shared, altered or redistributed without written consent.

• License of User Materials.
  All names, photographs, videos, information, communications and any other content that you submit to or publish on or through Edumomo’s website (“the Site”) or associated apps (the “Apps”) or that you submit to or publish on an online social media account (e.g., Facebook, Twitter, Instagram, etc.) that you own and link or otherwise associate with the Site, Edumomo, the Apps or your user account, including any information you provide via the Site or the Apps, if any and as applicable, is hereinafter defined as “user Materials”. You hereby grant Edumomo an irrevocable, exclusive, royalty-free, fully-paid, transferable, sub-licensable, perpetual and universe-wide license for Edumomo to host, store, reproduce, transmit, distribute, sell, resell, license, sublicense, market, modify, adapt, create derivative works, communicate, publish, syndicate, publicly perform, publicly display, archive and otherwise use and exploit all or any part of such user Materials and any elements and derivative thereof in any manner, medium or form, whether now known or hereinafter devised, as Edumomo sees fit in its sole discretion. Thus, Edumomo will own exclusively all such rights, titles and interests and shall not be limited in any way in its use or modifications to the submission, commercial or otherwise, of any user Materials. You authorize and grant Edumomo to take, use, edit, alter, copy and or distribute any photo, video, audio, or other media assets for advertising and marketing. You agree these assets belong to Edumomo and you will not receive any compensation or credit. You further agree that any user Materials submitted by you to the Site or the Apps will not be and will not contain libelous or otherwise unlawful, abusive, obscene, or otherwise objectionable material in Edumomo’s sole discretion. Edumomo may dispose of or delete any such personal information or non-personal information at any time, except as set forth in any other agreement or document executed by Edumomo or as required by law.
  You further acknowledge and agree that Edumomo may record or copy any video, audio, text, or any other form of media involving you, including activities you may participate in, in relation to the Services, on the Site or on the Apps. Edumomo will have full rights and license to use any of these materials for advertising, marketing, and any other activities Edumomo may choose to use them for. You hereby grant an irrevocable, exclusive, royalty-free, fully-paid, transferable, sub-licensable, perpetual and universe-wide license for Edumomo to host, store, reproduce, transmit, distribute, sell, resell, license, sublicense, market, modify, adapt, create derivative works, communicate, publish, syndicate, publicly perform, publicly display, archive and otherwise use and exploit all or any part of such materials and any elements and derivative thereof in any manner, medium or form, whether now known or hereinafter devised, as Edumomo sees fit in its sole discretion. Edumomo will own exclusively all such rights, titles and interests and shall not be limited in any way in its use or modifications to the submission, commercial or otherwise, of any such materials.

• Intellectual Property.
  You agree that the Materials, the Site, the Apps, the Services provided by Edumomo, and any other services or associated Edumomo materials are the property of Edumomo, including all copyrights, trademarks, trade secrets, patents, and other intellectual property ("Edumomo IP"). You agree that Edumomo owns all right, title and interest in and to Edumomo IP and that you will not use Edumomo IP for any unlawful or infringing purpose. You agree not to reproduce or distribute Edumomo IP in any way, including electronically or via registration of any new trademarks, trade names, service marks or Uniform Resource Locators (URLs), without express written permission from Edumomo.

• Confidential Information.
  You acknowledge that all the techniques, methods, and information concerning trading provided by Edumomo to you is owned by Edumomo, and is of a highly confidential nature. Accordingly, you hereby agree that during the term of the Program and for five (5) years after the termination of this Agreement, you shall not divulge or appropriate for your own use, or for the use or benefit of any third party (other than Edumomo and its representatives, or as directed in writing by the Edumomo), any information or knowledge concerning the Program or Services without the prior written consent of Edumomo.

• Acceptable Use.

  You agree not to use the Services for any unlawful purpose or any purpose prohibited under this clause. You agree not to use the Services in any way that could damage the Services or general business of Edumomo.
  You further agree not to use the Program or the Services:

  • To harass, abuse, or threaten others or otherwise violate any person's legal rights;
  • To violate any intellectual property rights of Edumomo or any third party;
  • To upload or otherwise disseminate any computer viruses or other software that may damage the property of another;
  • To perpetrate any fraud;
  • To engage in or create any unlawful gambling, sweepstakes, or pyramid scheme;
  • To publish or distribute any obscene or defamatory material;
  • To publish or distribute any material that incites violence, hate, or discrimination towards any group;
  • To unlawfully gather information about others.

• Affiliate Marketing & Advertising.
  Edumomo may engage in affiliate marketing whereby Edumomo receives a commission on or percentage of the sale of goods or services on or through the Services, the Site or the Apps. Edumomo may also accept advertising and sponsorships from commercial businesses or receive other forms of advertising compensation. This disclosure is intended to comply with the US Federal Trade Commission Rules on marketing and advertising, as well as any other legal requirements which may apply

• No Liability.
  The Services are provided for informational purposes only. You acknowledge and agree that any information posted in the Services or in the Materials is not intended to be legal advice, medical advice, or financial advice, and no fiduciary relationship has been created between you and us. You further agree that your participation in the Services is at own risk. Edumomo does not assume responsibility or liability for any advice or other information given in the Services or in the Materials

• Earnings Disclaimer.
  While Edumomo makes every effort to ensure that Edumomo accurately represent all the Services and Materials and their potential for income, it should be noted that earnings and income statements made by Edumomo and its advertisers / sponsors are estimates only of what Edumomo think you can possibly earn. There is no guarantee that you will make these levels of income and you accept the risk that the earnings and income statements differ by individual.
  As with any business, your results may vary, and will be based on your individual capacity, business experience, expertise, and level of desire. There are no guarantees concerning the level of success you may experience. The testimonials and examples used are exceptional results, which do not apply to the average purchaser, and are not intended to represent or guarantee that anyone will achieve the same or similar results. Each individual’s success depends on his or her background, dedication, desire and motivation.
  There is no assurance that examples of past earnings can be duplicated in the future. Edumomo cannot guarantee your future results and/or success. There are some unknown risks in business and on the internet that Edumomo cannot foresee which could reduce results you experience. Edumomo is not responsible for your actions.
  The use of Edumomo’s information, Materials and Services should be based on your own due diligence and you agree that Edumomo and the advertisers / sponsors of the Services are not liable for any success or failure of your business that is directly or indirectly related to the purchase and use of Edumomo’s information, Materials and Services reviewed or advertised on the Site or the Apps.

• Reverse Engineering & Security.
  You agree not to undertake any of the following actions:
  
  • Reverse engineer, or attempt to reverse engineer or disassemble any code or software from or on the Services, the Site or the Apps;
  • Violate the security of the Services, the Site or the Apps through any unauthorized access, circumvention of encryption or other security tools, data mining or interference to any host, user or network.

• Non-Compete.
  You specifically agree that for a period of two (2) years after the term of this Agreement with Edumomo, you will not engage, directly or indirectly, either as proprietor, stockholder, partner, officer, employee or otherwise, in the same or similar activities as Edumomo performed by Edumomo in any business which distributes or sells products or provides services similar to those distributed, sold, or provided by Edumomo at any time during the term of the service up to termination/cancellation.

• Data Loss.
  Edumomo does not assume or accept responsibility for the security of your account or content. You agree that your participation in or use of the Services is at your own risk.

• Indemnification.
  You agree to defend and indemnify Edumomo and any of our affiliates (if applicable) and hold us harmless against any and all legal claims and demands, including reasonable attorney's fees, which may arise from or relate to your participation in the Services, your use or misuse of the Services, your breach of this Agreement, or your conduct or actions. You agree that Edumomo shall be able to select its own legal counsel and may participate in its own defense.

• Spam Policy.
  You are strictly prohibited from using the Services, the Site or the Apps for illegal spam activities, including gathering email addresses and personal information from others or sending any mass commercial emails.

• Entire Agreement.
  This Agreement constitutes the entire understanding between the Parties with respect to the Services. This Agreement supersedes and replaces all prior or contemporaneous agreements or understandings, written or oral.

• Contribution Policy.
  By participating in and using the Services, you hereby agree and acknowledge that all the content created, disclosed, shared, or modified by you in the Services shall grant Edumomo the ownership and all the rights to use, reproduce, adapt, modify, publish or distribute the content created by you or stored in your user account for our commercial, marketing or any similar purpose. But you have a license to access, copy, distribute, store, transmit, reformat, the content of your user account for your personal accords.

• Service Interruptions.
  Edumomo may need to interrupt your access to the Services to perform maintenance or emergency services on a scheduled or unscheduled basis. You agree that your access to the Services may be affected by unanticipated or unscheduled downtime, for any reason, but that Edumomo shall have no liability for any damage or loss caused as a result of such downtime.

• Term, Termination and Suspension.
  Edumomo may terminate this Agreement with you at any time for any reason, with or without cause. Edumomo specifically reserves the right to terminate this Agreement if you violate any of the terms outlined herein, including, but not limited to, violating the intellectual property rights of Edumomo or a third party, failing to comply with applicable laws or other legal obligations, and/or publishing or distributing illegal material. You may also terminate this Agreement at any time by contacting Edumomo and requesting termination. At the termination of this Agreement, any provisions that would be expected to survive termination by their nature shall remain in full force and effect.
  Please be advised that terminating this Agreement does not entitle you to a refund on any monies spent with Edumomo.

• Changes.
  Edumomo may change the Services, the Materials, the Site or the Apps at any time for any reason without prior notice.

• No Warranties.
  You agree that your participation in or use of the Services is at your sole and exclusive risk and that any Services provided by us are on an "As Is" basis. Edumomo hereby expressly disclaim any and all express or implied warranties of any kind, including, but not limited to the implied warranty of fitness for a particular purpose and the implied warranty of merchantability. Edumomo makes no warranties that the Services will meet your needs or that the Services will be uninterrupted, error-free, or secure. Edumomo also makes no warranties as to the reliability or accuracy of any information in the Services. You agree that any damage that may occur to you, through your computer system, or as a result of loss of your data from your participation in the Services is your sole responsibility and that Edumomo is not liable for any such damage or loss.

• Limitation of Liability.
  Edumomo is not liable for any damages that may occur to you as a result of your participation in or use of the Services, to the fullest extent permitted by law, as noted above. The maximum liability of Edumomo arising from or relating to this Agreement is limited to the greater of five hundred ($500) US Dollars or the amount you paid to Edumomo in the last six (6) months. This section applies to any and all claims by you, including, but not limited to, lost profits or revenues, consequential or punitive damages, negligence, strict liability, fraud, or torts of any kind.

• General Provisions.
  • Language. All communications made or notices given pursuant to this Agreement shall be in the English language.
  • Jurisdiction, Venue, and Choice of Law. Through your participation in the Services and your use of the Site and the Apps, you agree that the laws of Wyoming shall govern any matter or dispute relating to or arising out of this Agreement, as well as any dispute of any kind that may arise between you and us, with the exception of its conflict of law provisions. In case any litigation specifically permitted under this Agreement is initiated, the Parties agree to submit to the personal jurisdiction of the state and federal courts of the following county: Sheridan, Wyoming. The Parties agree that this choice of law, venue, and jurisdiction provision is not permissive, but rather mandatory in nature. You hereby waive the right to any objection of venue, including assertion of the doctrine of forum non conveniens or similar doctrine.
  • Arbitration. In case of a dispute between the Parties relating to or arising out of this Agreement, the Parties shall first attempt to resolve the dispute personally and in good faith. If these personal resolution attempts fail, the Parties shall then submit the dispute to binding arbitration. The arbitration shall be conducted in the following county: Sheridan. The arbitration shall be conducted by a single arbitrator, and such arbitrator shall have no authority to add Parties, vary the provisions of this Agreement, award punitive damages, or certify a class. The arbitrator shall be bound by applicable and governing Federal law as well as the law of the following state: Wyoming. Claims necessitating arbitration under this section include, but are not limited to: contract claims, tort claims, claims based on Federal and state law, and claims based on local laws, ordinances, statutes or regulations. Intellectual property claims by us will not be subject to arbitration and may, as an exception to this sub-part, be litigated. The Parties, in agreement with this sub-part of this Agreement, waive any rights they may have to a jury trial in regard to arbitral claims.
  • Attorney’s Fees. In the event that any party institutes any legal suit, action, or proceeding, including arbitration, against the other party arising out of or relating to this Agreement, the prevailing party in the suit, action or proceeding shall be entitled to receive, in addition to all other damages to which it may be entitled, the costs incurred by such party in conducting the suit, action, or proceeding, including reasonable attorneys’ fees and expenses and court costs.
  • Assignment. This Agreement, or the rights granted hereunder, may not be assigned, sold, leased or otherwise transferred in whole or part by you. Should this Agreement, or the rights granted hereunder, by assigned, sold, leased or otherwise transferred by Edumomo, the rights and liabilities of Edumomo will bind and insure to any assignees, administrators, successors, and executors.
  • Severability. If any part or sub-part of this Agreement is held invalid or unenforceable by a court of law or competent arbitrator, the remaining parts and sub-parts will be enforced to the maximum extent possible. In such conditions, the remainder of this Agreement shall continue in full force.
  • No Waiver. In the event that Edumomo fails to enforce any provision of this Agreement, this shall not constitute a waiver of any future enforcement of that provision or of any other provision. Waiver of any part or sub-part of this Agreement will not constitute a waiver of any other part or sub-part.
  • Headings. Headings of parts and sub-parts under this Agreement are for convenience and organization, only. Headings shall not affect the meaning of any provisions of this Agreement.
  • No Agency, Partnership or Joint Venture. No agency, partnership, or joint venture has been created between the Parties as a result of this Agreement. No Party has any authority to bind the other to third parties.
  • Force Majeure. Edumomo is not liable for any failure to perform due to causes beyond our reasonable control including, but not limited to, acts of God, acts of civil authorities, acts of military authorities, riots, embargoes, acts of nature and natural disasters, and other acts which may be due to unforeseen circumstances.
  • Electronic Communications Permitted. Electronic communications are permitted to both Parties under this Agreement, including e-mail. For any questions or concerns, please email us at the following address: legal@edumomo.com

EXHIBIT A

Two Hour Trader Mastery Program

Effective Date:

This Two Hour Trader Mastery Program engagement will set out the THT Program details (“THT Program Agreement”).

Reference is made to the Agreement and THT Elite Agreement entered into by Edumomo LLC (“Edumomo”) and   (“you”) on , the terms and conditions of which are incorporated herein by this reference. This THT Program Agreement defines the services, products, obligations, and specific terms and conditions of the THT Program in accordance with the Agreement and THT Elite Agreement.

• THT Program Details.
  • Participate in the Mastery Program including:
    
    • Self paced THT Mastery Program course
  • Coaching Sessions.
    
    • Within five (5) days of the Start Date (as defined below) you can elect to have a thirty (30) minute call with a coach.
  • Access to weekly trade review sessions in an interactive group setting THT Elite Community.

• Fees & Payment.
  • The total fees for the THT Program are as follows:
    • The THT Program Fee: as defined in the order placed with Edumomo with this service
    • Five Percent (5%) of the sum total profits of all the combined Accounts you use any Edumomo trading system when the sum total of all the combined Accounts you use any Edumomo trading system exceeds one million ($1,000,000) US Dollars on whichever occurs first (i) an annual basis beginning the date of the Agreement or (ii) the termination of the Agreement.
  • Payment can be made by:
    
    • Credit Card
    • ACH
    • Wire Transfer

• THT Program Terms.
  After purchasing the THT Program, you will be given access to the THT program within ten (10) business days of order date. From the day you gain access to the THT Program (“Start Date”), you will have continue to have access to the self paced course as long as it is offered.  THT-Elite membership is required to maintain access to the live group classes and past videos and any coaching if selected.
  The Services and any of their accompanying Materials may not be shared with any party. If we suspect that the Services or Materials are being shared and/or that you have shared your log-in information with any party, we reserve the right to immediately terminate your access to the Services, in our sole and exclusive discretion.
  We do not offer any promises or guarantees with regard to our THT Program or Materials. You hereby acknowledge and agree:
  
  • You are solely and exclusively responsible for the choices that you make with regard to this THT Program, the Services, the Materials contained within it, or any significant changes to your business or life;
  • You are solely and exclusively responsible for your own mental health, physical health, business decisions, and any other actions or inaction you choose to take;
  • Edumomo is not liable for any result or non-result or any consequences which may come about due to your participation in the THT Program or Services;
  • This THT Program and Services do not constitute a therapeutic relationship or a medical one. We do not provide therapy or medical services and you are responsible for procuring these services at your own will and discretion if needed.

• Your Obligations.
  As a participant in the THT Program, you will be asked to register with us. When you do so, you will choose a user identifier, which may be your email address or another term, as well as a password. You may also provide personal information, including, but not limited to, your name. You are responsible for ensuring the accuracy of this information. This identifying information will enable you to participate in the THT Program. You must not share such identifying information with any third party, and if you discover that your identifying information has been compromised, you agree to notify us immediately in writing. Email notification will suffice. You are responsible for maintaining the safety and security of your identifying information as well as keeping us apprised of any changes to your identifying information.
  The billing information you provide us, including credit card, billing address and other payment information, is subject to the same confidentiality and accuracy requirements as the rest of your identifying information. Providing false or inaccurate information, or using the THT Program, the Services, the Site or the Apps to further fraud or unlawful activity is grounds for immediate termination of this Agreement.
  OBLIGATIONS: As a participant in the THT Program, you will be asked to undertake and complete the following obligations:
  
  • You will provide a good faith effort in learning from the THT Program and other services.
  • You will complete all homework, lessons, videos prior to moving on to the next step.
  • You will build your own strategies based on your education in the THT Program and Services.
  • Maintain a THT-Elite membership for as long your choose to participate in the Mastery Program

This Two Hour Trader Elite Community engagement will set out the THT Elite Community details (“THT Elite Agreement”).

Reference is made to the Agreement and THT Program Agreement entered into by Edumomo LLC (“Edumomo”) and (“you”) on , the terms and conditions of which are incorporated herein by this reference. This THT Elite Agreement defines the services, products, obligations, and specific terms and conditions of THT Elite Community in accordance with the Agreement and THT Program Agreement.

• THT Elite Community Details
  • Maintain access to the:
    
    • THT Access to Program
    • Weekly trade review sessions in an interactive group setting.
    • Trade ideas/plans from experienced traders in our process.
    • Live and interactive trade planning discussion with experienced Two Hour Traders.
    • Offered classes from time to time.
    • 100+ hours of past video recordings

• Fees & Payment.
  • The total fees for the THT Elite Community are as follows:
    
    • The THT Elite Community fee: as defined in the order placed with Edumomo 
    • Five Percent (5%) of the sum total profits of all the combined Accounts you use any Edumomo trading system when the sum total of all the combined Accounts you use any Edumomo trading system exceeds one million ($1,000,000) US Dollars on whichever occurs first (i) an annual basis beginning the date of the Agreement or (ii) the termination of the Agreement.
  • Payment can be made by:
    
    • Credit Card
    • ACH
    • Wire Transfer
  • You will be automatically enrolled into THT Elite Community at the beginning of the program. Your payment will be automatically made from your stored payment method.
